In such jurisdictions, our liability will be limited to the maximum extent permitted by law. 6. INTELLECTUAL PROPERTY RIGHTS 7.1 Ownership All content, materials, features, and functionality of the Services, including but not limited to: Text, documents, and written content Graphics, logos, and images Software and code Trademarks and service marks (including Harriet's Sisters©) Compilation and arrangement of content are owned by Harriet's Sisters, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. 7.2 Limited License Your purchase grants you a limited, non-exclusive, non-transferable, revocable license to: Access and view the digital content for your personal, non-commercial use only Download one copy of the digital application for your personal use Access subscription content during your active subscription period 7.3 Restrictions You may NOT: Copy, reproduce, distribute, or create derivative works from the content Modify, adapt, translate, or reverse engineer the content Remove any copyright, trademark, or proprietary notices Share your account credentials or purchased content with others Use the content for commercial purposes Publicly display, perform, or broadcast the content Frame or mirror any portion of the Services Unauthorized use may result in immediate termination of your license and may subject you to legal action. 8. SUBSCRIPTIONS AND PAYMENTS 8.1 Subscription Terms Annual subscriptions ($99.99 USD) include: Access to all subscription content for 12 months Automatic renewal unless cancelled Access to podcasts, discussions, and community content Ongoing updates from founders and contributors 8.2 Automatic Renewal Your subscription will automatically renew at the end of each subscription period unless you cancel before the renewal date. You will be charged the then-current subscription fee. You are responsible for cancelling your subscription if you do not wish to renew. 8.3 Price Changes We reserve the right to change our pricing at any time. Price changes will not affect your current subscription period but will apply upon renewal. We will provide notice of price changes in advance of renewal. 8.4 Payment Processing All payments are processed through secure third-party payment processors. We do not store your complete payment information. You agree to provide accurate and complete payment information. 8.5 Taxes You are responsible for all applicable taxes associated with your purchase, including sales, use, and value-added taxes. 9. REFUND POLICY INCORPORATION The refund and cancellation terms set forth in our separate Privacy, Refund, and Delivery Policy are incorporated into these Terms by reference. Please review that policy carefully before making a purchase. 10. PRIVACY AND DATA COLLECTION Our collection, use, and protection of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy. 11. THIRD-PARTY CONTENT AND LINKS Our Services may contain links to third-party websites, resources, or services. TERMINATION 13.1 Termination by You You may terminate your use of the Services at any time by: Discontinuing access to the Services Cancelling your subscription (if applicable) Deleting your account 13.2 Termination by Us We reserve the right to terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to: Violation of these Terms Fraudulent or illegal activity Abusive or harassing behavior Unauthorized sharing or distribution of content Non-payment At our sole discretion 13.3 Effect of Termination Upon termination: Your right to access and use the Services immediately ceases You must cease all use of the content No refunds will be provided except as specified in our Refund Policy Sections of these Terms that by their nature should survive termination shall survive 14. DISPUTE RESOLUTION 14.1 Informal Resolution Before filing any formal claim, you agree to first contact us at hswhl@harrietssisters.com to attempt to resolve the dispute informally. We will work in good faith to resolve any issues. 14.2 Binding Arbitration ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY BINDING ARBITRATION rather than in court, except that: You may assert claims in small claims court if they qualify Either party may seek injunctive relief in court for intellectual property infringement Arbitration Terms: Conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules One arbitrator selected according to AAA rules Location: Equitable Building,120 Broadway, New York, NY 10271 Each party bears their own costs and fees Arbitrator's decision is final and binding Judgment on the award may be entered in any court having jurisdiction 14.3 Class Action Waiver YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND HARRIET'S SISTERS INDIVIDUALLY. To the full extent permitted by law: Claims may not be arbitrated or litigated on a class, collective, or representative basis You may not join or consolidate claims with those of others No arbitrator or judge may preside over any form of representative or class proceeding 14.4 Governing Law These Terms shall be governed by and construed in accordance with the laws of New York, United States, without regard to its conflict of law provisions. 14.5 Venue If arbitration does not apply, you agree that any legal action must be brought exclusively in the state or federal courts located in Kings County, New York State, and you consent to personal jurisdiction in those courts. 15. MODIFICATIONS TO TERMS We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date. Your continued use of the Services after changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically. Material changes affecting your rights or obligations will be communicated via email to registered users. 16. SEVERABILITY If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. The remaining provisions shall continue in full force and effect. 17. WAIVER Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Harriet's Sisters, LLC. 18. ENTIRE AGREEMENT These Terms, together with our Privacy Policy and Refund and Delivery Policy, constitute the entire agreement between you and Harriet's Sisters, LLC, regarding the Services and supersede all prior or contemporaneous communications, agreements, or understandings, whether written or oral. 19. ASSIGNMENT You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void. 20. FORCE MAJEURE We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet failures, or technical malfunctions. 21. After payment is processed and you received your access code the transaction is completed and final – the no refund policy applies ANNUAL SUBSCRIPTION AND STUDENT SUBSCRIPTION c. Once payment is processed and subscription access is granted, the sale is complete and final d. No refunds or prorated credits will be issued for any reason e. Cancellation of your current subscription does not entitle you to any refund. However, you will still be able to use your cancelled subscription until the expiration date 15.
